Terms of Service

1. Overview

Elitez EOR provides payroll and compliance services for Singapore-based employers. We compute CPF, SDL, and self-help group deductions; generate payslips and IR8A reports; and file CPF EZPay on your behalf. By using our service, you agree to these Terms.

2. Service scope

What we do:

• Employ your staff on Elitez's payroll under a contract of service
• Compute CPF contributions (employee and employer shares) under 2026 rules
• Calculate and deduct SDL and self-help group contributions
• Generate itemised payslips each month
• Generate CPF EZPay files for your submission to CPF
• Generate IR8A income tax statements for IRAS
• Maintain secure payroll records

What we do NOT do:

• Sponsor or apply for work passes (you do this with MOM)
• Arrange WICA insurance or process injury claims
• Calculate or accrue annual leave, sick leave, or benefits
• Advise on tax, legal, or employment law (consult your accountant or lawyer)
• Provide redundancy or termination payouts
• Hire or fire employees on your behalf (you make hiring decisions)
• Conduct performance reviews or manage disciplinary action

3. Employment contract

Your employees are employed by Elitez, not your company. They sign a contract of service with Elitez. You direct their day-to-day work and set their responsibilities; Elitez is the formal employer for payroll, CPF, and compliance purposes.

This arrangement is permitted under the Employment Agencies Act, provided Elitez holds the necessary license and your arrangement complies with MOM fair employment practices.

4. Service contract term

Minimum 12 months. Your service contract with us runs for 12 months. You may not cancel early without penalty. If you exit within 12 months:

• We retain the right to charge the full 12-month commitment or negotiate a settlement
• Your employees remain employed by Elitez until formally released (no unilateral termination)

Your individual employment contracts with employees can end per their terms and your agreement with them, but your service agreement with us is 12 months minimum.

5. Billing and payment

Price: S$59 per employee per month, based on your employee count at the start of each month.

Card fee: 1.4% (140 basis points) on the monthly invoice. This fee is waived for the first 6 months if you commit to a 12-month contract.

Payment method: Credit or debit card via Instarem, a licensed payment service regulated by MAS. You authorise us to charge your card monthly.

Due date: The invoice is due immediately upon receipt. Late payment may incur interest per our agreement or statutory default interest.

No refund for headcount changes within a month: If an employee leaves mid-month, you are still billed for that month. We do not pro-rate.

6. CPF filing and compliance

CPF EZPay: We generate the file monthly. You are responsible for uploading it to the CPF portal and paying CPF contributions by the 14th of the following month. Late payment incurs interest.

IR8A: We provide the IR8A file by mid-March each year. If you have 5+ employees, you must register for IRAS Auto-Inclusion Scheme (AIS) and submit electronically. If fewer, you print and give hardcopies to employees by 1 March.

Accuracy: We compute payroll under 2026 CPF rules. You must verify the amounts before payment and notify us of any errors. We will not be liable for errors not flagged within 10 business days of the invoice.

7. Data and security

You grant us the right to collect, store, and process employee data (NRIC, DOB, wages, bank account, CPF records) to deliver the service. See our Privacy Policy for how we protect this data.

Your responsibility: You must ensure employees consent to their data being processed by us and inform them of our Privacy Policy.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, special, or consequential damages (lost profits, lost data, business interruption).
• Our total liability is limited to the fees paid by you in the 12 months preceding the claim.
• We are not liable for errors in payroll if you do not notify us within 10 business days of the invoice.
• We are not liable for your failure to file CPF or IR8A on time or for any penalties you incur.

9. Indemnification

You indemnify us against claims arising from:

• Your employees' actions or misconduct
• Workplace injuries or accidents (WICA claims)
• Your failure to comply with fair employment practices or discrimination laws
• Your termination of employees without proper notice

10. Termination

We may terminate this agreement if you:

• Breach material terms and do not cure within 14 days
• Fail to pay invoices for 30 days or more
• Use the service for unlawful purposes

11. Changes to terms and pricing

We may update these Terms with 30 days' written notice. Continued use after the change constitutes acceptance. We may adjust pricing annually with 30 days' notice, effective the next billing cycle.

12. Governing law

These Terms are governed by the laws of Singapore. Any disputes shall be resolved in the courts of Singapore.
